1. Acceptance of Terms
By accessing or using our website and services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into binding agreements, and agree to comply with these Terms. If you are accepting these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity.
If you do not agree with any part of these Terms, please do not use our website or services.
2. Our Services
Ponni Design provides professional web design and development services, including but not limited to:
- Custom website design
- Front-end and back-end web development
- E-commerce solutions
- UI/UX design and prototyping
- Search engine optimisation (SEO)
- Digital branding and visual identity
- Website maintenance and support
The specific scope, deliverables, and pricing for each engagement will be outlined in a separate proposal or statement of work agreed upon in writing.
3. Project Engagement
Each project begins with a discovery phase where we assess your requirements and provide a detailed proposal. Once both parties agree to the scope and terms in writing, we begin work.
Client responsibilities
- Provide accurate, complete, and timely information needed to complete the project.
- Supply content (text, images, branding assets) by agreed deadlines.
- Review deliverables and provide feedback within the timeframes specified in the proposal.
- Designate a primary point of contact authorised to make decisions on behalf of your organisation.
Delays caused by late content delivery or feedback may result in adjusted project timelines.
4. Payment Terms
- Initial deposit: A 50% non-refundable deposit is required before work begins, unless otherwise agreed.
- Milestone payments: For larger projects, payments may be split across milestones.
- Final payment: The remaining balance is due upon project completion and before final delivery / website launch.
- Currency: Unless otherwise specified, all fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST.
- Late payments: Invoices unpaid beyond 15 days from the due date may incur a late fee of 1.5% per month and result in pause of services.
All payment terms specific to your project will be detailed in your individual proposal or statement of work, which takes precedence over the general terms above.
5. Timelines & Delivery
Estimated timelines are provided in good faith based on project scope. Actual delivery may vary depending on the complexity of the work, scope changes, and the timeliness of client feedback and content delivery.
We commit to clear, regular communication throughout the project to keep you informed of progress and any potential delays.
6. Revisions & Changes
Each project includes a defined number of revision rounds, as specified in the proposal. Additional revisions or changes outside the original scope may incur extra fees.
Significant scope changes (such as adding new pages, features, or functionality) will be treated as separate work and quoted accordingly.
7. Intellectual Property
Final deliverables
Upon receipt of full payment, you (the client) own the rights to the final website design, code, and deliverables created specifically for your project, except for third-party assets (e.g., licensed fonts, stock images, plugins) which remain subject to their original licenses.
Our retained rights
- We retain ownership of all preliminary concepts, sketches, and unused designs.
- We retain the right to display completed work in our portfolio, case studies, and marketing materials, unless explicitly restricted by a non-disclosure agreement.
- We retain ownership of any proprietary tools, frameworks, or boilerplate code we use across projects.
8. Client Content
You represent and warrant that any content you provide to us (text, images, logos, videos, etc.) is either owned by you or properly licensed, and does not infringe on any third party's intellectual property rights, privacy, or other legal rights.
You agree to indemnify and hold Ponni Design harmless from any claims arising from content you supply.
9. Confidentiality
We respect the confidentiality of your business information. Any non-public information you share with us during a project will be treated as confidential and used solely for the purpose of delivering the agreed services.
We expect the same in return — pricing, internal processes, and proprietary methods we share with you should not be disclosed to third parties.
10. Warranties & Disclaimers
We warrant that our services will be performed with reasonable care, skill, and professionalism in accordance with industry standards.
However, our services are provided "as is" and "as available" without any other warranties, express or implied. We do not guarantee:
- Specific search engine rankings or traffic levels.
- That the website will be uninterrupted, error-free, or completely secure.
- Compatibility with all current or future devices, browsers, or third-party platforms.
- Specific business outcomes or revenue results.
11. Limitation of Liability
To the fullest extent permitted by law, Ponni Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our website or services.
Our total liability for any claim arising from a project shall not exceed the total fees paid by you for that specific project.
12. Termination
Either party may terminate an engagement with written notice in the following circumstances:
- By you: at any time, with written notice. You will be invoiced for all work completed up to the termination date, and any deposits paid are non-refundable.
- By us: if you breach these Terms, fail to pay invoices, fail to provide required content or feedback, or behave in an abusive or unprofessional manner.
Upon termination, all rights to deliverables remain with us until full settlement of outstanding fees.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
We encourage open communication to resolve disputes amicably. Most issues can be resolved through direct conversation — please contact us first before pursuing legal action.
